Welcome to Vudoo Live (the "Platform"). These Terms & Conditions ("Terms") govern your access to and use of the Platform, including all content, features, services, and applications offered by Vudoo Live. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease using the Platform.

1. Acceptance of Terms

You represent and warrant that you are at least the age of majority in your jurisdiction or you have obtained parental/guardian consent if applicable. You further represent and warrant that you will comply with all local laws regarding online conduct and acceptable content.

2. Changes to Terms

We may update these Terms from time to time. Your continued access to or use of the Platform after changes are posted constitutes your acceptance of those changes.

3. Accounts and Registration

To use certain features of the Platform you may be required to register for an account. You agree to provide accurate, current and complete information, and to maintain and update your account information. You are responsible for safeguarding your password and for any activities or actions under your account, whether or not you authorize such activities or actions.

4. User Content

The Platform may allow you to post, stream, upload, or otherwise share content ("User Content"). You retain ownership of your User Content. However, by posting User Content, you grant Vudoo Live a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display and perform the User Content in connection with providing the Platform and services. You also grant other users of the Platform a non-exclusive license to access and use your User Content as permitted by the functionality of the Platform.

You represent and warrant that you have all the necessary rights to submit your User Content and that the submission does not violate any third-party rights, laws or regulations. You agree not to submit any User Content that is unlawful, defamatory, infringing, harassing, hateful, obscene, or otherwise objectionable. Vudoo Live reserves the right (but is not obligated) to remove or block any User Content for any reason, including if it suspects violation of these Terms.

5. Intellectual Property

The Platform and its original content, features and functionality are and will remain the exclusive property of Vudoo Live and its licensors. The Platform is protected by copyright, trademark, and other laws of both Germany, Bangladesh, Singapore, and other applicable jurisdictions.

6. Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates any applicable local, national or international law or regulation.
• Exploit, harm or attempt to exploit or harm minors in any way.
• Use the Platform in any way that infringes another party's rights (including intellectual property, privacy or publicity rights).
• Upload, post or transmit any User Content that you do not have a right to transmit under law or under contractual or fiduciary relationships.
• Use bots or other automated means to access the Platform for any purpose.
• Engage in any conduct that restricts or inhibits any other user from using or enjoying the Platform.
• Introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Platform or the server on which the Platform is stored.

7. Payments, Subscriptions and Refunds

If you purchase any services (e.g., premium content access, virtual goods) on the Platform, you agree to pay all applicable fees and charges associated with your purchase. All payments shall be in the currency displayed and are non-refundable unless required by applicable law or as explicitly stated by Vudoo Live. You are responsible for all taxes (VAT, GST, duties, etc.) associated with the purchase.

8. Termination

Vudoo Live may terminate or suspend your account and access to the Platform at any time, with or without notice, for any conduct that Vudoo Live believes violates these Terms or is harmful to other users, the Platform, or third parties. You may also terminate your account at any time by following the account deletion functionality in the Platform settings.

9. Disclaimers and Limitation of Liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, Vudoo Live disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability. Vudoo Live does not guarantee that the Platform will be uninterrupted, secure or error-free.

To the maximum extent permitted by applicable law, in no event shall Vudoo Live, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for any indirect, incidental, special, punitive, or consequential damages whatsoever (including loss of profits, data, use, goodwill or other intangible losses) arising out of or in connection with your access to or use of the Platform.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Vudoo Live is established (which may include Singapore). Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, or as otherwise specified by Vudoo Live.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable under applicable law, such provision shall be struck out or modified, and the remaining provisions shall continue in full force and effect.

12. Entire Agreement

These Terms and any referenced or linked policies constitute the entire agreement between you and Vudoo Live regarding the Platform and supersede all prior and contemporaneous agreements, proposals or communications between you and Vudoo Live on the same subject matter.
